Affiliates Terms and Conditions

This Affiliate Program is operated by TalentGro Global Private Limited, a company incorporated under the laws of India, registered with DPIIT (Department for Promotion of Industry and Internal Trade), with its registered office in Mohali, Punjab, India.

All references to "TalentGro," "we," "us," or "our" in these terms refer to TalentGro Global Private Limited.

By joining the TalentGro Global Affiliate Program, you agree that you are an independent contractor and not an employee, agent, or representative of TalentGro Global. Nothing in these terms creates a partnership, joint venture, or employment relationship.

You may not make any representations, warranties, or commitments on behalf of TalentGro Global. You are solely responsible for your own taxes, insurance, and business expenses.

To participate in the TalentGro Global Affiliate Program, you must:

• Be at least 18 years of age.
• Have a valid website, blog, social media presence, or other digital platform.
• Agree to and comply with these Affiliate Terms and Conditions.
• Not be a current employee or contractor of TalentGro Global.
• Not operate in any industry or manner that conflicts with TalentGro Global's values and brand.

TalentGro Global reserves the right to accept or reject any affiliate application at its sole discretion.

To become an affiliate, you must complete the registration process on the TalentGro Global Affiliate Portal. Your application will be reviewed by our team, and you will be notified of approval or rejection within 5 business days.

Upon approval, you will receive access to your affiliate dashboard, unique tracking links, and promotional materials. You must provide accurate and complete information during registration.

Affiliates earn a commission of 7% on each qualifying sale made through their unique affiliate tracking link. A qualifying sale is defined as a completed purchase where:

• The customer clicked your affiliate link before making the purchase.
• The purchase was completed within the cookie duration window.
• The purchase was not subsequently refunded or charged back.
• The sale does not violate any terms of this agreement.

Commission rates may be adjusted by TalentGro Global with 30 days' prior notice to affiliates.

All affiliate referrals are tracked using unique affiliate links and cookies. The cookie duration for tracking purposes is 30 days from the initial click. If a customer makes a purchase within 30 days of clicking your affiliate link, the sale will be attributed to you.

If a customer clicks multiple affiliate links, the last-click attribution model applies — the most recent affiliate link clicked before purchase receives the commission.

Self-referrals (purchasing through your own affiliate link) are strictly prohibited. Any commissions earned through self-referral will be voided, and repeated violations may result in termination from the program.

This prohibition extends to purchases made by immediate family members or business entities you own or control using your affiliate link.

If a customer who was referred through your affiliate link requests and receives a refund, the corresponding commission will be deducted from your affiliate balance. If the commission has already been paid out, the amount will be deducted from future earnings.

In cases of chargebacks or payment disputes, the associated commission will be reversed. TalentGro Global is not liable for any losses incurred by affiliates due to customer refunds or chargebacks.

Affiliate commissions are paid out on a monthly basis, subject to the following conditions:

• Minimum payout threshold: ₹1,000 (Indian Rupees).
• Payouts are processed on the 15th of each month for the previous month's confirmed commissions.
• Payment methods include bank transfer (NEFT/IMPS) for Indian affiliates and PayPal for international affiliates.
• Commissions are confirmed 30 days after the sale to account for the refund window.

If your balance does not meet the minimum threshold, it will carry over to the next payment cycle.

Affiliates are solely responsible for reporting and paying all applicable taxes on their affiliate earnings. TalentGro Global will provide necessary documentation (e.g., TDS certificates for Indian affiliates) as required by law.

For Indian affiliates, TDS (Tax Deducted at Source) will be deducted as per applicable rates under the Income Tax Act. International affiliates are responsible for complying with their local tax regulations.

As a TalentGro Global affiliate, you agree to:

• Promote TalentGro Global services honestly and accurately.
• Not make false, misleading, or exaggerated claims about our services.
• Not use spam, unsolicited emails, or deceptive marketing practices.
• Not bid on TalentGro-branded keywords in paid search campaigns without prior approval.
• Clearly disclose your affiliate relationship as required by applicable advertising regulations.
• Not engage in any activity that could harm TalentGro Global's reputation or brand.

TalentGro Global provides approved promotional materials including banners, text links, and marketing copy through the affiliate dashboard. You may use these materials in accordance with our brand guidelines.

You may not modify TalentGro Global's logos, trademarks, or promotional materials without prior written approval. Any custom promotional content must be submitted for review before use.

The following activities are strictly prohibited and may result in immediate termination from the program:

• Cookie stuffing or any form of artificial click/conversion generation.
• Using malware, adware, or browser extensions to inject affiliate links.
• Creating websites or content that impersonates TalentGro Global.
• Purchasing traffic from prohibited sources (adult content, illegal activities).
• Incentivising clicks or purchases through misleading offers.
• Any form of fraud or manipulation of the tracking system.

TalentGro Global grants affiliates a limited, non-exclusive, revocable licence to use our trademarks, logos, and promotional materials solely for the purpose of promoting our services under this program.

This licence terminates immediately upon your exit from the program. You may not register domain names, social media handles, or other identifiers that include TalentGro Global's trademarks or confusingly similar variations.

As an affiliate, you may have access to confidential information including commission rates, conversion data, and promotional strategies. You agree to keep all such information confidential and not disclose it to any third party.

This confidentiality obligation survives the termination of your participation in the affiliate program.

Either party may terminate the affiliate relationship at any time with written notice. TalentGro Global may terminate your participation immediately without notice if you violate any terms of this agreement.

Upon termination:

• All pending commissions that have met the minimum threshold will be paid within 30 days.
• Commissions below the minimum threshold will be forfeited.
• You must immediately cease using all TalentGro Global promotional materials and trademarks.
• All affiliate links will be deactivated.

TalentGro Global's total liability to any affiliate under this agreement shall not exceed the total commissions paid to that affiliate in the 12 months preceding the claim.

TalentGro Global is not liable for any indirect, incidental, special, or consequential damages arising from your participation in the affiliate program, including lost profits or business opportunities.

You agree to indemnify and hold harmless TalentGro Global, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your violation of these Affiliate Terms and Conditions.
• Your promotional activities or content.
• Any misrepresentation about TalentGro Global or its services.
• Your violation of any applicable laws or regulations.

TalentGro Global reserves the right to modify these Affiliate Terms and Conditions at any time. Affiliates will be notified of material changes via email or through the affiliate dashboard at least 15 days before the changes take effect.

Continued participation in the program after changes take effect constitutes acceptance of the updated terms. If you do not agree with the changes, you may terminate your participation before the effective date.

These Affiliate Terms and Conditions are governed by and construed in accordance with the laws of India. Any disputes arising from or related to this agreement shall be subject to the exclusive jurisdiction of the courts in Mohali, Punjab, India.

Before initiating any legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days. If negotiation fails, disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996.
